How incorporation works in Alberta
- Choose a name or a number. A named company needs an Alberta NUANS name search report; a numbered company (for example 1234567 Alberta Ltd.) does not.
- Provincial or federal? Most Calgary businesses incorporate in Alberta. Federal incorporation can make sense if you plan to operate across Canada, but it still needs an Alberta extra-provincial registration.
- File the Articles of Incorporation with the Alberta Corporate Registry through an authorized registry service provider, along with the registered office address and directors.
- Set up the company: minute book, share structure, CRA business number, and GST and payroll accounts if you need them.
- Keep it in good standing: file the Alberta annual return every year and a T2 corporate tax return within six months of your year end.
Is it worth incorporating?
A Canadian-controlled private corporation in Alberta pays a combined 11% tax (9% federal plus 2% Alberta) on the first $500,000 of active business income, compared with personal tax rates that can be much higher. Incorporating can help you defer tax, split income with family through dividends where the rules allow, and limit personal liability. It also adds costs and paperwork, so we look at your income and plans before recommending it.

Incorporating a business in Calgary and Alberta
Garg Accounting helps Calgary entrepreneurs decide whether to incorporate and, if it makes sense, sets the company up properly with the CRA from day one. We explain the tax impact before you file, so you know how you'll pay yourself and what your annual obligations will be.
Alberta or federal incorporation?
- Alberta (provincial) corporation: registered with the Alberta Corporate Registry through a registry agent. This is the simplest option for most businesses operating mainly in Alberta.
- Federal corporation: registered with Corporations Canada, giving national name protection. It must also be registered extra-provincially in Alberta to operate here.
- Named or numbered company: a named company needs a NUANS name search report; a numbered company (for example 1234567 Alberta Ltd.) does not.
Our incorporation process
- Consultation: we review your income, plans and whether incorporation saves tax.
- Name search and filing: NUANS report, Articles of Incorporation, registered office address and directors.
- CRA registrations: Business Number, corporate income tax account, GST/HST and payroll accounts as needed.
- WCB Alberta: registration if you have workers.
- Bookkeeping and payroll setup: so your first year-end is clean and on time.
After you incorporate
- File an Alberta annual return with the Corporate Registry each year.
- File a T2 corporate tax return within six months of your fiscal year-end.
- Keep your minute book (resolutions, share register, directors) up to date.
- Plan owner pay through salary, dividends or both.
Frequently asked questions
Should I incorporate my business?
Incorporation can lower tax when your business earns more than you need to live on, because income kept in the company may qualify for the small business deduction. It also adds costs and paperwork. We run the numbers for your situation before you decide.
How long does it take to incorporate in Alberta?
Once the name and documents are ready, an Alberta corporation can often be registered within a few business days.
What is a NUANS report?
A NUANS report is a name search required to register a named corporation. It checks your proposed name against existing businesses and trademarks.
Do I need a GST number after incorporating?
You must register for GST/HST once taxable revenue goes over $30,000 in four consecutive quarters, or immediately if you provide taxi or rideshare services. Registering earlier can let you claim input tax credits.
Can you handle my corporation's taxes after setup?
Yes. We prepare year-end financial statements, T2 returns, GST filings and payroll for incorporated businesses.
